Terms of Service

Plain-language summary: Soliton is a video-conferencing service. By creating an account you agree to these Terms. You own the content and recordings you create; you give us limited permission to host and deliver them. You are responsible for getting consent before recording where the law requires it. We can suspend accounts that break the rules. There are limits on our liability, and most disputes are resolved by arbitration. This summary is not the agreement; the full terms below are.

1. Agreement to These Terms

Soliton ("Soliton," "we," "us," or "our") is a video-conferencing service operated by Metaplexus LLC, a limited liability company based in the United States. These Terms of Service ("Terms") form a binding legal agreement between you and Metaplexus LLC governing your access to and use of the Soliton applications, websites, and related services (together, the "Service").

2. Who May Use Soliton

You must be at least 13 years old to use Soliton. If you are between 13 and 17, you may use the Service only with the involvement of a parent or guardian, and certain features may be limited. By using the Service you represent that you are legally able to enter into this agreement and are not barred from using the Service under the laws of your jurisdiction.

3. Your Account

You are responsible for the information you provide, for keeping your password secure, and for activity under your account. Tell us promptly at soliton@metadock.io if you suspect unauthorized use.

4. What Soliton Is

Soliton provides real-time video and audio conferencing, including group calls and one-on-ones, screen sharing, in-call chat, and optional recording and transcription. The Service may evolve, and we may add, change, or remove features over time.

5. Acceptable Use

You agree not to use the Service to: break the law; harass, threaten, or harm others; share content you do not have the right to share; transmit malware; infringe intellectual-property or privacy rights; record or distribute a session in violation of Section 6; attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service; or use it to send spam or for any deceptive purpose. We may set reasonable usage limits to keep the Service reliable for everyone.

6. Recordings and Consent

Soliton lets a host record a meeting. When recording is active, the Service displays a recording indicator to participants. You alone are responsible for complying with all laws that apply to recording, including obtaining any required consent before you record. Many U.S. states require the consent of all parties to a conversation, and when participants are in different states the strictest applicable law controls; laws outside the U.S. may differ. You agree not to record, store, share, or transcribe any session except as permitted by law and by the other participants. Metaplexus LLC is not responsible for recordings you create or how you use them, and you indemnify us for claims arising from your recordings (see Section 15).

7. Your Content

You keep ownership of the content you create, share, or record through the Service ("User Content"), including meeting recordings and transcripts you generate. By using the Service, you grant Metaplexus LLC a worldwide, non-exclusive, royalty-free license to host, store, transmit, reproduce, and display your User Content solely to operate, provide, secure, and improve the Service, and consistent with the settings and audience you choose. We do not use the content of your meetings to advertise to you, and we do not sell it.

8. Moderation and Enforcement

To protect users and the Service, we may review reported conduct and remove content or suspend or terminate accounts that violate these Terms or the law. We do not monitor the content of private meetings as a routine matter.

9. Copyright and DMCA

If you believe content on the Service infringes your copyright, send a notice with the information required by the Digital Millennium Copyright Act to our designated agent.

10. Our Intellectual Property

The Soliton name and logo, the software, design, look and feel, and all materials we create are owned by Metaplexus LLC and protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service except as the law allows.

11. Third-Party Services and Paid Features

The Service may integrate third-party tools (for example, payment processing or infrastructure), which are governed by their own terms. Paid plans, if offered, are billed as described at purchase; taxes may apply, and fees are non-refundable except where required by law or expressly stated.

12. Termination

You may stop using Soliton and delete your account at any time. We may suspend or terminate your access, with or without notice, for violations of these Terms, for conduct that harms other users or the Service, or where required by law. Sections that by their nature should survive termination (including content license terms, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

13. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any recording, transcript, or connection will be available or accurate.

14. Limitation of Liability

To the fullest extent permitted by law, Metaplexus LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars (US$100).

15. Indemnification

You agree to indemnify and hold harmless Metaplexus LLC from claims, damages, and reasonable expenses (including legal fees) arising from your User Content, your recordings, your use of the Service, or your violation of these Terms or of any law or third-party right.

16. Dispute Resolution, Arbitration, and Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Except where prohibited by law, you and Metaplexus LLC agree to resolve disputes through binding individual arbitration rather than in court, and you waive the right to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing soliton@metadock.io. Either party may bring a qualifying claim in small-claims court.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, in the app or by email) and, where appropriate, ask you to accept the updated Terms before continuing to use the Service. The "Last updated" date above shows the current version. Continued use after an update takes effect means you accept the revised Terms.
